Como já vimos em diversas oportunidades, o inglês jurídico é repleto de sinônimos.

Normalmente, os sinônimos vêm na forma de binômios¹ redundantes como null and void e will and testament. Nesses casos, a orientação é traduzir o binômio por um único termo, tendo em vista que uma tradução dos três elementos implica redundância e falta de idiomaticidade na língua de chegada.

Assim, a tradução de null and void corresponde a nulo e a de will and testament a testamento.

Entretanto, em alguns contextos jurídicos, termos tratados como sinônimos em muitos contextos podem assumir acepções ligeiramente diferentes. Vejamos os termos abaixo.

Assign & transfer

Ambos os termos podem ser traduzidos por ceder, transferir.

Entretanto, em inglês, quando se trata de direitos e obrigações, o termo mais indicado é assign (e.g. assign rights and obligations), ao passo que transfer é indicado para bens materiais (e.g. transfer property).

Transfer

• Institution will not use the Product for any other purpose and will not transfer the Product to any third party.

• Subject to any limitations in the Memorandum, registered shares in the Company may be transferred by a written instrument of transfer signed by the transferor and containing the name and address of the transferee.

Assign

• Lessee shall not sub-let the premises, or any part thereof, or assign this agreement without the written consent of the Lessor.

• Owner agrees to assign to Exchangor, all of Owner's rights (but not its obligations) in the Relinquished Property Contract.
